Loss from operations was $10.3 million; operating margin was negative 8.7%. Non-GAAP operating income was $25.0 million; non-GAAP operating margin was 21.0%. Net loss per share attributable to PagerDuty, Inc. common stockholders was $0.07. Non-GAAP net income per diluted share attributable to PagerDuty, Inc. common stockholders was $0.25. Specifically, PagerDuty excludes the following from its historical and prospective non-GAAP financial measures, as applicable: Stock-based compensation: PagerDuty utilizes stock-based compensation to attract and retain employees. It is principally aimed at aligning their interests with those of its stockholders and at long-term retention, rather than to address operational performance for any particular period. As a result, stock-based compensation expenses vary for reasons that are generally unrelated to financial and operational performance in any particular period. Employer taxes related to employee stock transactions: PagerDuty views the amount of employer taxes related to its employee stock transactions as an expense that is dependent on its stock price, employee exercise and other award disposition activity, and other factors that are beyond PagerDuty’s control. As a result, employer taxes related to employee stock transactions vary for reasons that are generally unrelated to financial and operational performance in any particular period. Amortization of acquired intangible assets: PagerDuty views amortization of acquired intangible assets as items arising from pre-acquisition activities determined at the time of an acquisition. While these intangible assets are evaluated for impairment regularly, amortization of the cost of purchased intangibles is an expense that is not typically affected by operations during any particular period. Acquisition-related expenses: PagerDuty views acquisition-related expenses, such as transaction costs, acquisition-related retention payments, and acquisition-related asset impairment, as events that are not necessarily reflective of operational performance during a period. In particular, PagerDuty believes the consideration of measures that exclude such expenses can assist in the comparison of operational performance in different periods which may or may not include such expenses. Amortization of debt issuance costs: The imputed interest rates of the Company's convertible senior notes (the "2025 Notes" and the "2028 Notes" or, collectively, the "Notes") was approximately 1.91% for the 2025 Notes and 2.13% for the 2028 Notes. This is a result of the debt issuance costs, which reduce the carrying value of the convertible debt instruments. The debt issuance costs are amortized as interest expense. The expense for the amortization of the debt issuance costs is a non-cash item, and we believe the exclusion of this interest expense will provide for a more useful comparison of our operational performance in different periods. Restructuring costs: PagerDuty views restructuring costs, such as employee severance-related costs and real estate impairment costs, as events that are not necessarily reflective of operational performance during a period. In particular, PagerDuty believes the consideration of measures that exclude such expenses can assist in the comparison of operational performance in different periods which may or may not include such expenses. Gains (or losses) on partial extinguishment of convertible senior notes: PagerDuty views gains (or losses) on partial extinguishment of debt as events that are not necessarily reflective of operational performance during a period. PagerDuty believes that the consideration of measures that exclude such gain (or loss) impact can assist in the comparison of operational performance in different periods which may or may not include such gains (or losses). Adjustment attributable to redeemable non-controlling interest: PagerDuty adjusts the value of redeemable non-controlling interest of its joint venture PagerDuty K.K. according to the operating agreement. PagerDuty believes this adjustment is not reflective of operational performance during a period and exclusion of such adjustments can assist in comparison of operational performance in different periods. Income tax effects and adjustments: Based on PagerDuty's financial outlook for fiscal 2025, PagerDuty is utilizing a projected non-GAAP tax rate of 23% in order to provide better consistency across the interim reporting periods by eliminating the impact of non-recurring and period specific items, which can vary in size and frequency. PagerDuty's estimated tax rate on non-GAAP income is determined annually and may be adjusted during the year to take into account events or trends that PagerDuty believes materially impact the estimated annual rate including, but not limited to, significant changes resulting from tax legislation, material changes in the geographic mix of revenue and expenses and other significant events. Non-GAAP gross profit and non-GAAP gross margin We define non-GAAP gross profit as gross profit excluding the following expenses typically included in cost of revenue: stock-based compensation expense, employer taxes related to employee stock transactions, amortization of acquired intangible assets, and restructuring costs. We define non-GAAP gross margin as non-GAAP gross profit as a percentage of revenue. Non-GAAP operating expenses We define non-GAAP operating expenses as operating expenses excluding stock-based compensation expense, employer taxes related to employee stock transactions, amortization of acquired intangible assets, acquisition-related expenses, which include transaction costs, acquisition-related retention payments, and asset impairment, and restructuring costs which are not necessarily reflective of operational performance during a given period. French President Emmanuel Macron named a new government Monday evening, putting together a team under Francois Bayrou, his fourth prime minister of the year, to drag the second-largest EU economy out of political crisis. Macron named former prime minister Elisabeth Borne, 63, education minister in a new cabinet under centrist Bayrou, announced Elysee secretary-general Alexis Kohler. Another former premier, Manuel Valls, 62, returned as overseas territories minister, while former interior minister Gerald Darmanin became justice minister. Both Defence Minister Sebastien Lecornu and Foreign Minister Jean-Noel Barrot kept their jobs, the presidency said. Lecornu, a 38-year-old loyalist with a keen political nose, has served in every government since Macron's first election as president in 2017. Conservative Interior Minister Bruno Retailleau, who has vowed to crack down on illegal immigration, and right-wing Culture Minister Rachida Dati, also stayed in their posts. The difficult job of delivering a budget plan for next year falls to Eric Lombard, head of public-sector lender Caisse des Depots (CDC), who was named economy minister. "I'm very proud of the team we're presenting this evening," Bayrou said on X, adding his "experienced" cabinet would aim to "rebuild trust". The inclusion of two former prime ministers indicates Macron's desire for a heavyweight government that will enjoy stability and not share the fate of Bayrou's predecessor, Michel Barnier, ousted in a no-confidence vote. He alleged that it had been formed with the implicit "backing" of far-right leader Marine Le Pen, who will play a key role in ensuring its survival. "The prime minister informed me this morning, contrary to what he had proposed yesterday, that he was no longer in a position to entrust me with responsibility for the justice ministry due to opposition from (Le Pen's) National Rally," Bertrand said in a statement. "Despite his new proposals, I refuse to take part in a government of France formed with the backing of Marine Le Pen." Bertrand is a major irritant for the far right, which he has long opposed. A plurality of Americans believe President Joe Biden’s presidential pardons are “inappropriate,” according to the latest weekly survey from the Economist /YouGov. The survey asked , “Do you think the way President Biden has used the power to pardon or commute the sentences of people convicted of federal crimes has been appropriate or inappropriate?” A plurality, 46 percent, described it as “inappropriate,” while 28 percent said it is “appropriate.” Just over a quarter, 26 percent, remain unsure. There is major partisan divide on this matter, as a majority of Democrats, 55 percent, believe Biden’s actions on these pardons has been “appropriate.” Only 17 percent said it is not. However, most Republicans, 71 percent, deem Biden’s actions on this matter “inappropriate,” and a plurality of independents, 48 percent, agree. Only 12 percent of Republicans and 19 percent of independents believe Biden’s actions regarding pardons has been “appropriate” in nature. The survey was taken December 15 – 17, 2024, among 1,553 U.S. adult citizens. It has a +/- 3.4 percent margin of error. It follows Biden issuing presidential pardons to 39 Americans convicted of nonviolent crimes and commuting the sentences of close to 1,500 individuals. As Breitbart News reported , this makes it the “largest single-day act of clemency in modern history.” Notably, the survey came ahead of Biden doubling down and commenting the sentences of 37 of 40 individuals on federal death row. “Make no mistake: I condemn these murderers, grieve for the victims of their despicable acts, and ache for all the families who have suffered unimaginable and irreparable loss,” Biden claimed in a December 23 statement, asserting that he was “guided by [his] conscience and [his] experience as a public defender, chairman of the Senate Judiciary Committee, Vice President, and now President” to make that decision. “I am more convinced than ever that we must stop the use of the death penalty at the federal level. In good conscience, I cannot stand back and let a new administration resume executions that I halted,” he added. ST. PAUL — A planned lottery to give some would-be cannabis business owners a licensing head start won’t go forward early this week after a judge halted the process Monday. Ramsey County District Court Judge Stephen Smith sided with a group of applicants who had been denied access to the social equity pre-approval lottery. They sued over a process they argued had lacked clear criteria and that left no room for appeals. ADVERTISEMENT “There’s no lottery tomorrow,” Smith ruled toward the end of an hourlong online hearing. He said the state was free to file an appeal. Ahead of the hearing, officials with the Office of Cannabis Management warned that the lottery might not happen at all if it was postponed given the cost and logistics of putting it on. Attorney David Asp, who represented some of the applicants, told Smith that the lottery was rushed and that people who were denied entry deserved a chance to contest their disqualification. “The state doesn’t dispute that our client will suffer irreparable harm if this order isn’t entered. That’s usually one of the main issues in an injunction, but it’s not a dispute here. Our clients will be harmed. As I said, more than $1,000,” Asp said. “The harm on the OCM side is entirely of their own making.” The Office of Cannabis Management had defended its process, saying they were attempting to root out applicants who were looking for a quick profit instead of actually moving to set up legitimate businesses. Officials with the regulatory agency said that some applications appeared to have been put in on behalf of other entrepreneurs trying to get a foothold in Minnesota’s nascent market. “The Legislature chose for this pre-approval process to be an efficient and expedient one, and part of that is evidenced by the fact that there is no appeals provided for for the pre-approval process, whereas in the final license approval process, there is an availability for reconsideration,” said the agency’s attorney, Ryan Petty. “So a major factor of this is the Legislature’s decision to make this process efficient and expedient so that the social equity applicants can get that head start.” There were more than 1,500 applicants for this stage of the licensing process, the agency said.
